Explorer.exe Fails To Shut Down

I'm running Win XP Media CenterEd. Ver 2002 SP2. When I shut the computer
down a notice appears stating that Explorer.exe is still running. I have
to click "end now" for it to stop, and allow Win to close .

How can I correct this situation?

Go through this excellent shutdown troubleshooter:

And as always, make sure your computer is virus/malware-free:

This question is better directed at the Vista NG's. While XP &
Vista are related the code base is different. Fixes that might work
on an XP system may not be applicable to Vista.

Explorer.Exe is a very major component of Windows. There are
interactions between it and many other components. There isn't a
simple answer because just a failure to close is a very generic type
description. The problem could be other software you are using or
dependant services that aren't closing first. The only suggestion I'd
make is boot it to Safe Mode, then Shutdown. If the issue doesn't
show itself it's a 3rd-Party driver or application at fault. Locating
that isn't an easy or simple thing to accomplish.
