error message when trying to upgrade windows me to windows xp

I keep receiving a error message reading:The option to
upgrade will not be available at this time because setup
was unable to load the file E:\I386\WIN9XUPG\W95UPG.DLL.A
device attached to the system is not functioning.>>I have
tryed the selective startup and also the safe mode startup
and im still receiving the same message.What can i do?
