Error trying to upgrade to XP Home Edition

When trying to upgrade to XP Home Edition I get the
following error:
"The option to upgrade will not be available at this time
because setup was unable to load the file E:\I386
\\WIN9XUPG\\W95UPG.DLL"

"A dynamic link library (DLL) initialization routine
failed"

Does anyone know what my problem is?
