XP upgrade activation...

I bought a copy of XP home upgrade from a computer fair.The disk is a genuine MS disk with product code etc but had been used previously.The lady I bought it from assured me she wasnt using it anymore and therefore activation should be fine. Was she telling the truth? I dont want to install it at the momment because im in the proccess of building a new PC.
