xp stalls on upgrade

Hope someone can help,all the local techs at the puter
stores are stumped.I just built a new puter,amd 64
3000+,gforce fx 5500,512 ddr 400 and have installed a
full version of win me so I can upgrade to my xp upgrade
disk The upgrade goes fine untill it gets to (preparing
installation)at that point it keeps rebooting and would
do so all night if I allowed it to.I have also tried the
same xp disk trying a (new install) instead of clicking
the upgrade.It gets to (examining configuration) and the
floppy light comes on and freezes up,theres no disk in
the floppy either.The xp disk works fine because I had it
installed on my laptop before it was dropped and put to
rest.Any info would be greatly appreciated,thanks in
advance.

are you sure that there are no hardware compatibility issues? if there aren't
any, you might try this: upgrade from win98se instead of ME.
