xp restart instead of shutdown

I have tried everything on the web (microsoft's included), and failed to find
a solution to this simple but very annoying problem.
I have XP home addition, SP3 fully updated.
I do not have Roxio
I have removed the automatic restart on the startup and recovery dialog
I get no error messages or blue screen
My computer simply restart every time I shutdown

Please HELP!

you might double
check your lan device
properties and ensure
that wake on lan and
wake on ring are disabled.

there are similar options
like the above in your bios.

in addition to the driver
in windows, you should
double check your scheduled
tasks in control panel and
within the properties of active
processes, like your antivirals.

if they are "tasked" with checking
for updates or running operations,
then these tasks can start your
windows automatically.

Disable everything that reads 'Wake up' in the BIOS settings. Also, I have
seen this behavior if you have a CD/DVD in the drive during a shutdown.
