XP OEM -> Vista RC1 -> Vista Ultimate

I bought an XP OEM coputer then installed Vista RC1 and would now like to
purchase Vista Ultimate. Two questions:

Am I entitled to an Upgrade or do I need a new version?
Can I install over Vista RC1 or do I need a clean install? I have over 400
GB of data on the drive so a clean install would be a major problem for me.

Windows Vista upgrade need to be installed from an existing installation of
a qualifying operating system such as Windows XP.
Beta versions such as RC-1 do not qualify.

To use the upgrade, you will need to install Windows XP.
Or you can purchase a full version of Vista and upgrade your current
installation of Windows Vista.
