Yes you are.
You cannot use your OEM product activation key with the retail product.
You only acquired the OEM release with that PC, this comes with certain
limitations (such as not being able to be moved to another PC after the
death of that PC etc). So you may not just install the retail product on
that PC.

Your OEM must have provided a method of restoring the computer to as shipped
from the factory - this may be a recovery CD set or a hidden recovery
partition. These methods may also be destructive (remove any existing data
or applications). So if you did not get one of these from your OEM then
contact them. If you want a generic OEM CD then you should also contact
them (there is no requirement for them to supply one).

This is not a case of saying "I have 2 XP licenses what difference does it
make?" - you actually have a retail and an OEM license these are different
and not interchangeable.

Licenses aside, the oem key won't work with the retail CD.

Thanks for your info, I have another question:

what if, for some reason both box reformatted and reinstalled.
during installation, both license has been switched. this 2 box
has been activated previously before format.
will this violating the license agreement ?

Durby,

If you switch the OEM license from the box it is first installed to to
another system that is a breach of the OEM End User License Agreement (EULA)
that forbids the movement of the OEM OS from one machine to another - a
restriction not in the retail version.
