XP Home -> Pro Upgrade option not available

I am trying to upgrade a Dell Windows XP Home with SP2 to "standard"
(non-oem) full version of Windows XP Pro with SP2. I would like to do this
as an upgrade rather than backup/wipe/install new. All docs and on line info
says that I will have an option to install or upgrade when the CD Auto-runs.
I do not get any option for upgrading. But any of the other options indicate
that there is already an OS here, "do you really want to install a second
copy." which of course, I don't. What do I have to do to get the Upgrade
option?

You need to purchase a "Retail Upgrade" or "Retail Full Version"
of Windows XP Pro in order to get the default upgrade option
during setup. If you do not get the "Upgrade" option, you do not
have a "Retail Version" of Windows XP.

As Carey stated, no upgrade option, then you have a non-retail version --
aka OEM version - OEM can only do a clean install, and as you yourself have
stated, that's the only option you are getting - it is just warning you that
you already have an OS installed.
