Win'XP Pro Won't Start!

My machine is a Pentium III 8000MHZ running XP Pro (for over a year
now), when I booted up the 2nd time the other night it went through
the normal BIOS startup process until Windows is supposed to open,
all I get now is a black screen with a blinking cursor in the upper
left of the monitor. Tried rebooting without success. I hear a single
beep following reboot so the mobo is functioning; BIOS is detecting
all my HDDs and DVD-CD drives; ran numberous HDD utilities
successfully; ran memory test on my PC100 768Mb (3 x 256Mb) ram and
found 1 stick with errors and replaced it. Have tried to run Windows
Repair Install and still no luck! Help!!

Check your RAM.
Take all memory blocks out and put them back again.
It happens to me every once in a while... Bad contacts or comething.
