Windows XP Task Manager (processes)

I have 35 processes running in my Windows Task Manager. I
have been advised by a software company to end these
processes to enable a download of a component of the
software. When I shut down my computer, I always get
messages that programs must be ended (although I have
closed them). If I try to end a process I get a warning
that tells me that shutting down the process can cause
problems including instability. Obviously, I don't
understand what the processes are. Thanks
