Windows XP sudden death

Hi, I recently got this weird problem on my Win XP
machine: sometimes the machine just hangs for no apparent
reason. This happens most often when I click a link on a
web page, once or twice when I was using Outlook. the
hard disk would spin down, the monitor would turn black
and go into standby mode, while the system light would
stay on and the cpu fan would still be spinning. I then
have to power off the system and switch on again. The
system would then tell me a serious error has occured and
asked me to send the error report.

The microsoft web site that receives the error report
would then say it is a device driver that caused the
problem but can't say which or what driver.

I look up the event viewer and it says: system error,
category 102, EventID 1003, Error code 000000d1,
parameter1 00000024, parameter2 00000011, parameter3
00000000, parameter4 f698c2c1.

Can anyone tell me what has caused this problem and if
there's any fix please? any advice is appreciated.

My system has: MSI-6712 mainboard, AMD 2500 Barton CPU,
768 MB PC2100 memory, 40 GB hard disk, Geforce FX5200 128
MB graphics card, WinXP SP1.
