Windows XP PRo with Product Key but no COA, is License valid or no

Hello and please help me solve this issue. i have purchased from Microsoft in
March 2006 a Retail Windows XP Pro CD with SP2 Part number X10 52222. It came
with a Orange Product Key with 'Proof of License' written on it. On the
holographic cd it had 'Not for retail or OEM Distribution'. In August 2006 i
sold this Windows XP Pro cd, its Product Key and a Backup cd i had made of
the original, privately to a person in UK. I sold this genuine XP Pro as i
have another genuine XP Pro with License and do not require two. This Person
has stated in emails to me that he requires a COA and that the orange Product
Key Label with 'Proof of License' written on it, is not legal enough for his
company. I Have explained to him, that It is, Proof of Legal Ownership with
the orange label Product Key and genuine CD! Also he states that he is going
to be charged £92 for change of ownership for this unregistered and
unactivated copy of XP Pro. Please advise me if i require anything else from
Microsoft to make this legal for him to use for his company, or is it already
legal with license because of the Geniune Cd and its Product Key. According
to the following i think i am right in saying it is legal with license and
can be transfered once to an end user, please let me know as i will forward

genuine Microsoft software. It includes advanced anti-counterfeiting features
to help you verify the authenticity of the software you acquired. COAs may
also contain a barcode that is used for product tracking purposes.

Q: What is Proof of License?
A: With the release of Windows XP Service Pack 2 the words "Proof of
License" began appearing on COAs and Product Key labels. A genuine Microsoft
COA or Product Key label with the words "Proof of License" indicates legal
proof of ownership of the associated software. COA labels and Product Key
labels should always accompany the product they are associated with and
cannot be purchased separately.

Q: What is a Product Key label?
A: The Product Key label is the orange label affixed to the retail
installation CD holder that contains a 25 character code. Beginning with the
release of Windows XP Service Pack 2, the words "Proof of License" appear on
the label. Product Key labels only accompany retail products. Product keys
for preinstalled Windows software are printed on the preinstalled Windows COA.

13. END USER PROOF OF LICENSE. If you acquired the Software on a compact
disc or other media, a genuine Microsoft "Proof of License" label with a
genuine copy of the software identifies a licensed copy of the Software. To
be valid, the label must appear on Microsoft software packaging. If you
receive the label separately, it is invalid. You should keep the packaging
that has the label on it to prove that you are licensed to use the Software.

14. SOFTWARE TRANSFER.Internal . You may move the Software to a different
Workstation Computer. After the transfer, you must completely remove the
Software from the former Workstation Computer. Transfer to Third Party . The
initial user of the Software may make a one-time permanent transfer of this
EULA and Software to another end user, provided the initial user retains no
copies of the Software. This transfer must include the Software and the Proof
of License label. The transfer may not be an indirect transfer, such as a
consignment. Prior to the transfer, the end user receiving the Software must
agree to all the EULA terms.
