Windows XP Pro Upgrade Install

I need to install a licensed version of XP Professional
which I have on a PC that already has XP Professional on
it. Unfortuantely the version on the PC is not licensed.

I want to replace the OS with the licensed version via an
Update install rather than a new install.

Will this work OK?
