Windows XP Install Crash

A friend of mine has a Dell Dimension 4300 which came with Windows ME.
Recently the computer contracted a nasty virus and pretty much destroyed the
hard drive. I was able to recover most of the user data from the drive and
then proceeded to wipe the hard drive. I suggested that she upgrade to XP
Home so we bought an upgrade copy of that. I tried to do a clean install
and everything went well until it finished preparing for installation by
copying files. As soon as the install moved to the next step I got a BSOD
with a DRIVER_IRQL_NOT_LESS_OR_EQUAL. The stop code was 0x0d1 (0x00c8bbf9,
0x05, 0x01, 0xfc427766) in atapi.sys. As near as I can tell this is a
memory type error from a write operation on IRQ 5.

I upgraded the BIOS to the current version, upgraded all the firmware to the
latest and greatest, ran Windows memory test for several full passes,
reformatted and tried again with the same results.

I then installed Windows ME and tried again with the same results. I then
ran Windows Update and got all the updates, patches, etc. and tried the
upgrade and I still get the DRIVER_IRQL_NOT_LESS_OR_EQUAL.

The XP install check for hardware incompatibility doesn't report any
problems.

The system is a Dell Dimension 4300 with 128 MB of RAM (I know this isn't
ideal), an LG CD-ROM CRD 8482B, 16 MB ATI Rage 128 Ultra, Intel 82801BA
Ultra Storage Controller, Conexant PCI V.90 modem, CNET PRO 200WL PCI Fast
Ethernet, and Creative SB Live.

It is running ME fine now but I would like to know why the upgrade to XP
Home always crashes.

Any ideas?

There are no extra PCI cards. The SB, Ethernet and modem are built-in on
the mother board.
