Windows Vista Upgrade/Full

Can I upgrade from Windows Vista RC2 To Vista Ultimate 64 bit or is the only
way I can upgrade is if I am running XP? or do I have to get the full version?

You need the full version to upgrade RC2 to Ultimate64. You will need to do
a custom install, but from the DVD to use the upgrade version. XP will have
to be installed and activated for the upgrade to be offered.

In addition to John's answer, I assume your RC2 is x64. If so you can use
the upgrade option of a full retail Ultimate x64 edition and you can do it
from the RC2 desktop to preserve your files, settings, and apps. Do NOT
boot with the retail dvd or you will only be able to do a custom install and
that will not preserve your software.

He can use the upgrade option so long as his RC2 is x64, which he did not
specify but probably is. In his scenario he starts the x64 Setup from the
RC2 desktop. The custom install requirement does not apply to Vista itself.

He asked if he could upgrade from RC2 to Ultimate. I stated that he would
need the full version to do so which is correct. If he wanted to buy an
upgrade version, he would have to have a qualifying OS installed, which RC2
is not.

You also said he would have to do a custom install. He doesn't if his RC2
is x64.
