Windows 2k server wont fully restart

I have a proliant ml350 g3 win2k server with exchange 2k
and all of a sudden when i go to restart the server i get
to a black screen with a blinking cursur and i have to
manually power off the system and power it back on. I
updated the bios and have the latest patches except sp4.
Any suggestions on what may be causing this.

How far is the boot process getting to?

I can boot the machine fine but when i go to restart it it
says windows is shutting down and then windows closes and
it looks like it wants to reboot but it goes to a black
screen with a blinking curser it doesnt kick over.

If you go into safe mode, what do you see in the system event logs?
