WIN2K Upgrade

Hi,
I am running WIN2K server on single server and Exchange 2K on another single
server - My task now is to upgrade them to Windows 2003 and Exchange 2003
respectively and also need to impliment disater recovery option of having
similar servers in case of hardware failure I can switch easily to other
without much downtime. Can you please advice how to achieve this.
