win xp sp 2 will not install

I have win xp sp1 and try to upgrade to sp2. It starts to install and half
way through it I get an access is denied set up error. With an error code
80070005. My system has 256mb of ram a 40 gig hd with plenty of free space.
All the harware drivers are microsoft certified. I've tried down loading from
ms website and also from the win xp sp2 cd.This happens every time I try to
install sp2 from cd or website. Any suggestions?

Turn off or disconnect all external devices,i.e. printer/scanner/etc

Turn off or disconnect from the web (if DSL or cable modem)

Turn off firewall, virus scanner, etc.

Try again. (If it works - turn everything above back on.)
