Will HP Restore disc serve as proof of ownership for XP upgrade?

I've been asked to ready a computer for donation. I have the HP restore
disc set (WinME) but do not have the CD Key. Will these restore discs serve
as proof of ownership when doing a clean install with an XP Home upgrade
disc?

No. You'll need a conventional Microsoft Windows 95/98/ME
installation CD. Otherwise, you'll need to purchase a "Full Version"
of Windows XP.

HP Restore CD means it's an OEM license, so the Product Key should be
on a label affixed to the PC case.

No, only a true installation CD will suffice.
