W2k Server Stops during Install

I have a 2000 HP Netserver E60 (PIII 550, 384MB RAM, 9.1GB HD) that
has had NT 4.0 on it and has run really well since day one.
I decided to install W2000 Server on it to upgrade. On multiple
attempts at installing the new OS, it hangs and goes nowhere at the
"Windows 2000 is preparing to install" blue screen. I have formatted
the HD, run the HP tools setup helper, even reinstalled NT and
tried to upgrade. I have 2 different W2kServer CD's and both bomb.
Each and every time they stop at that screen. No HD activity, no
nothing!
Right now NT is running just fine but I would still like to know if
anyone has experienced this type of problem.

Run the following while NT4 is running. In W2K's CD, I386 directory.
"winnt32 /checkupgradeonly". Consider flashing the bios.
