No. Um it's a bit complicated. When you have Vista HP installed and want to
upgrade to Vista U you have more than one option. Here's some:
1. Run the wizard from within the OS:
Start > Control Panel > Windows Anytime Upgrade
...and follow the instructions for a small download, and an Anytime disc from
an online retailer.

2. Purchase an upgrade copy of Vista U retail at your local big box store.
Then simply upgrade using the new disc and new Product Key.
3. Obtain a legitmateVista U key and use the DVD media you already have to
install the U version [instead of the HP] by using the U key. How you obtain
such a key is your business - I don't see any offhand for sale per se. But
as often is the case, seek and ye shall find.
4. Use your DVD disc to install and run Vista U but do not enter a product
key nor activate. Use the rearm functinonality to go on indefinitely w/o
activating. After many many months it will finally catch up and you will
have to do an in-place upgrade .. but again do not enter the Product Key nor
activate .. and so on ..
