Just went update to my system and Microsoft validation tool failed to
install. Anyone know why?

And what does OEM mean ?

There is a problem with Windows Genuine Advantage Notification (KB905474),
which is probably the one you are talking about.

You can manually download & run this update by copying and pasting the
following address into your browser:

http://www.download.windowsupdate.com/msdownload/update/v3-
19990518/cabpool/windowsxp-kb905474-enu-x86_
4bafa8793e8cdcaf4ba4ffc494df32d496154544.exe

BTW: OEM = Original Equipment Manufacturer

OEM stands for Original Equipment Manufacturer. What it means is that
the distributor or retailer of a product has agreed to assume the role
and responsibilities of the actual manufacturer with regard to
warranty and customer support for that product.

So if you purchased a computer made by Acme Computer Products with an
OEM version of Microsoft Windows installed on it then what you
actually have is "Windows by Acme, licensed from Microsoft" and the
primary responsibilities for warranty and support issues belongs to
Acme and not to Microsoft.
