Using OEM key with Upgrade edition CD?

I own a notebook computer which came with an OEM version of Windows XP Pro.
The Windows CD-ROM that came with it (not the recovery discs but the actual
WXP disc) has since been rendered useless, so I'm stuck without a normal
Windows installation disc. However, I'm able to buy a rather inexpensive
Windows XP Pro upgrade edition through my school (student license).

I'm wondering: would it be possible to use the OEM product key to install
this upgrade edition? Do the upgrade editions require that you insert the
actual disc or will entering a valid product key suffice?

Also, about this student license. Will it be illegal for me to continue
using this windows version after I finish school?

One cannot use an OEM Product Key with a different version
of Windows XP. It will only work with an OEM version.

Limitations of Academic Versions:

--- For noncommercial, educational use only.
--- For qualified educational users only.
--- Non-upgradeable to the next version.
--- Non-transferable.
--- Has no installation support.
--- Has a non-perpetual license that is tied to the eligibility of the user.
(If a user is no longer a student or educator, the license is no longer
valid)

Your right to use the Academic version of Windows XP ends when you
no longer meet the criteria for using the Academic version of Windows XP.

Hi Bas,

If you plan to install Windows XP Professional CD, you will be prompted to
insert the product CD you are upgrading from.

No it wouldn't be illegal to use it after you finish school. The school
buys in bulk, and/or may even get the ware for free, depending, use it
for as long as you wish.

This is not correct. The requirement to insert the previous version's CD is
only for doing a clean installation with an upgrade version.
