There's no reason to install an earlier client OS and then upgrade.
Performing a clean installation using only an upgrade disk is certainly
possibly, providing your have supported media when prompted (Win 95 on up.)
However, it's likely that you're experiencing this loop because of some
software that you have installed on your machine. For instance, this
article points out a symantec product which requires uninstallation first:
The Computer Is Stuck in a Restart Loop After You Upgrade from Windows 98 or
Windows Me--
While the OS listed is Win 9x, the principle is the same, though the actual
application may be different. For more informatin, check out your
SETUP.LOG, SETUPERR.LOG (hidden by default). These may clue you into what's
tripping your upgrade.
