Upgrading to xp home

I have a desktop that gotn sick. It had ME running and I thought I would change to xp. I gave my copy of ME to my daughter and reformated my hard drive. I got a copy of xp home upgrade at the store and had a old copy of windows 5.
I put 5 on my system and now it will not load xp. It says WINNT32a is bad. can you help me?

The qualifying products for use with the Windows XP upgrade are listed at
http://www.microsoft.com/windowsxp/home/howtobuy/upgrading/matrix.asp

We never released a product called Windows 5. If you mean Windows 95, that
product is not eligible for upgrade. You will need to purchase a Full
version of Windows XP Home Edition.
You may not use your daughters copy of Windows ME to qualify for the upgrade
as it is in use on her PC.

What is "Windows 5"?
Do you mean Windows 95?
You can not upgrade Windows 95 to Windows XP.
However you can perform a Clean Installation and use Windows 95 as
qualifying media.

Clean Installation of Windows XP:
Disconnect all peripherals (camera, printer, scanner, etc)
Disconnect network/modem cable.
Go to BIOS and set CDROM as boot device before hard drive.
Insert Windows XP CD and reboot.
At "Press any key to boot to CDROM" quickly press a key and follow the
prompts for a Clean installation:

If you are installing using Windows XP Upgrade, insert qualifying
media in Step 4b.
Delete all partitions in step 5 if you desire to erase all data on the
hard drive.
Partitioning and formatting will be done automatically.
All data will be destroyed, back-up important data first.

Enable or install firewall BEFORE connecting network cable.

Install ALL Critical Windows Updates:
Start/All Programs/Windows Update

After you are finished, you will need to load the appropriate drivers.
