Upgrading to Windows XP

When upgrading to XP from 98, XP Setup will not accept my
registration key. Why..? I've tried to contact microsoft
by email about this problem.... and they ask me for the
registration key.... and they say it is invalid...
therefore i cannot get help from microsoft. I paid $100
for this upgrade version a year ago and waited to upgrade
my memory before upgrading to XP. Anyone have an answer??
