I HAVE TO MAKE A CHOICE OF UPGRADING TO WINDOWS 2000 SERVER OR XP PROFESSIONAL. ANY SUGGESTIONS.

Upgrading from what?
By the way: In newsgroup etiquette, writing messages all in upper case is

If you are upgrading NT 4.0 server, you need to upgrade to a server
operating system. If you are upgrading NT 4.0 workstation you need a
workstation operating system.

Windows 2000 server is a server operating system and XP professional is a
workstation operating system.

Am trying to upgrade a 5 client NT Server network running NT 4.0 with service pack 4 to Either Windows 2000 Server. The software that I am running on this system has been upgraded an will work with either Windows 2000 or XP professional. Any help would be appreciated.

You write " . . .to Either Windows 2000 Server." Or what?

Anyway, as far as I know you cannot upgrade WinNT server to Win2000 server.
You must do a clean installation.
