Upgrade from Win98SE to Win XP

Hi
I currently have Win98SE installed on my PC and would like
to upgrade my OS to WinXP. If I run the setup for WinXP
from the CD will this automatically override Win98 or do I
need to format my hard drive and install WinXP in this
manner?
