upgrade Fatal errors 5FAFF58h and 62CFF58h

Hello,
I'm trying to upgrade from Win98SE on fully compatible
hardware. My XP CD set is X08-40893. Anyway, while
upgrading I get fatal errors described only as 5FAFF58h
and 62CFF58h.

I also get the following can't copy:
d:\I386\mfc42.dll to
c:\windows\setup\mfc42.dll, same for migisol.dll.
These are "findable" on d: and also on c:\windows\system.
My drive currently contains a c:\windows\setup.pss folder.

The upgrade advisor also dies with fatal error: 60BFF58h.

What's with these fatal errors ending in FF58h?
Any help greatly appreciated.

Before upgrading any pre-existing Windows installation, it would be prudent to
run the Upgrade Advisor for Windows XP. This tool will report what hardware
or software may be incompatible with Windows XP. If you follow the Upgrade
Advisor's recommendations, you should not have any problem upgrading to
Windows XP.
