Upgrade advisor failure

I've tried several times to run XP Upgrade Advisor. It fails each time about 90% of the way thru, with a blue screen warning VSERVER(01) +00004D7D ERROR:0E:0028)DC886A40 (the last several digits vary, but the result is the same).
It fails before creating the upgrade.txt file, so the process is useless.
I'm considering an XP upgrade because my ME system has recently become fairly unstable, freezing or shutting down from time to time.
Any suggestions on the advisor (or the advisability of upgrading)?
