I´ve decided to upgrade til Vista 62 from Vista 32.

When I use the 64 disk and launch setup the upgrade option is disabled -
what can i do to upgrade and keep my files and settings?

You can't upgrade. 64bit amounts to a platform change and this can only be
done by clean install..

As Mike has said there is no upgrade from 32 bit to 64 bit Windows. Use
Windows Easy Transfer to save your files and settings to an external drive.
Backup your data. Do a clean install of 64 bit Windows. Install programs.
Update Windows and programs. Restore files and settings with Windows Easy
Transfer. Restore any data WET may have missed.
