Trojan calling home? Or Valid?

I've been using XP Home, IE 6 for quite a while. I also use
ZoneAlarm. Suddenly, Zone alarm says a program with no name wants to
access the internet. AND it wants to act as server. The program with
no name is "services.exe". It's in the Windows/System 32 folder. It
says it's a MS program.

Why suddenly does it want to access the internet?
Why suddenly does it want to act as server?
Should I let it?

1st of all i'd download and run these

also do a full virus scan
