transfer XP upgrade (retail) to new computer

I am building a new computer and have an old copy of XP upgrade retail
version (no longer being used). When I try to load it on the new
computer, it prompts me to insert a disk with an older version of
windows. Just wondering if I went and bought an OEM Windows 95, if
that would do the trick?

Yes, Win95 is a qualifying product.
