Too much CPU time

Recently I noticed that my cpu was running around 45% with no program
activity. When I open task manager tm itself will be using up to 99
of cpu time. I have shut down every thing I can in tm but the cpu
time is still in the 90% + range. I have checked for virus, disk
problems, etc. No luck. Anyone have any suggestion?

In Task Manager look at the processes tab to see what programs are
consuming the CPU cycles.
