System32 Error everytime!!

Everytime I connect to the internet, (I use Verizon DSL)
within 5 minutes I get an error that my computer is going
to shut down. Then it proceeds to shut down on its own.
It generates from System32, it is an EXE file. What in the
world am I to do to fix this? I reinstalled XP but its
become worse. I reinstalled VZ DSl and it still does not
work. Any help is MUCH appreciated!
