System does not automatically power down after upgrade

I recently upgraded a Win98 system to W2K and now it
says 'shutting down' and then comes up with the message
that it is safe to turn off your computer. With Win98 it
would shut down automatically.

You have to install the APM driver for your motherboard
(Automatic Power Management). Note that while an "upgrade"
from Win98 to Win2000 is possible, numerous compromises
are involved in doing so, and you may lose some functionality.
You would end up with a far more robust and solid installation
if you went for a clean reload.
