System 32 problem

WINDOWS\system32\cmd.exe tells me
C:\WINDOWS\SYSTEM32
AUTOEXEC.NT. The system file is not suitable for running MS-DOS and
Microsoft Windows applications.Choose 'close' to terminate the application.
I click close and window keeps popping back up.I click ignore and the window
pops back up.Can anyone tell me the problem?

Everything was working wonderfully until I installed SPS 2.
After I installed it, I kept getting the 16-Bit message for both MS-DOS &
Windows.
Some programs would NOT load, AOL & Yahoo would not load.
I had a MsPacMan games that used to work fine.
Now I get the 16-Bit message. A few other programs say the same thing.
After I removed it, I STILL get the 16-Bit error Message.
Now the MsPacMan game still doesn't work.
Every time I Start Windows, the System 32 Folder pops up. I close the
folder. It pops up again.
I installed SPS 2 again. Still the same problem. I went all over the Windows
XP Support Center.
I do NOT have the CD Rom for Windows XP. I bought it at a Major Chain store
with Windows XP pre-installed, so the CD Rom didn't come with it. Only a
Recovery CD.
And on TOP of that. I keep getting the 'Updates Are Ready To Install' Icon
again. And it's for SPS 2. AAARRRGHHH!!!
