SP2 gets "denied access".

I have attempted to install SP2 vie the windows update
sight, and even tried installing it from the SP2 CD from
Microsoft. In both attempts, I recieve a "access denied"
pop-up error message Upon clicking O.K., Windows aborts
instalation, and and replaces the files it had backed
up. After which, I am instructed to restart my
computer. When it is all said and done, I am back at
square one, sp2 still not installed.

I am running WIN XP PRO, version 2002 SP1. Any solutions
out there???
