Shutting down outlook 2003

When I shut down outlook, everything seems fine but I cannot open it back up
without shutting down the computer. I did some investigation and found that
when I closed down outlook, the process is still running in the background.
How would I take care of making sure it shuts down completely?

Thanks.

Do you use any handheld sync software (Hotsync, Activesync, etc)?

I did see activesync yes.

Is it running/are you using it to sync to a handheld? The most common cause
of Outlook not closing entirely is stuff like this. Try stopping/disabling
it and see whether that makes a difference.
