I have a system that will not shutdown, so I ctrl/alt/del and found that if
I end a process called regedit.exe and the system would shut down find, but
looking on other computers there is no regedit.exe in task manager, I have
run spybot, adaware and have done a full system scan with a antivirus
software and all looks good.

It's plausible that regedit was somehow accidentally scheduled to run on
each startup, but it's difficult to believe it was accidentally set to
run minimized. Run an online AV, or try your AV in Safe Mode or
schedule a bootscan. The first thing a virus does is to disable your
AV, though it should allow it to appear to be working so you won't catch on.
