Shared Mailboxes

Could someone pls post the most efficient way of setting up shared mailboxes
in E2K3.
Objectives:
1. A group of people should be able to read and reply to mail in a group
mailbox.
2. Each reply should be visible in the shared mailbox.
3. The mailbox should be able to send and receive both internal and internet
mail.
4. Preferably, a group signature should appear rather than the individual's.
5. Addition and deletion of people who can use this mailbox should be
delegated to the manager of the group, who will be a Knowledge worker, not
an IT worker, with user level rights.
6. Individuals should not have the capability to archive, however, the
manager of the mailbox can.

Environment:
Ent Server 2003, Exchange Ent Srvr 2003, Outlook 2003, XP SP1. Single 2003
Forest and Single 2003 Domain AD native mode. Mailboxes need to be migrated
over from Lotus Notes R5.11. Notes Connector installed.
