Setup cannot find mshtml.dll

I encounter this problem as I upgrade a Win98 machine to Win2K Pro. I
thought perhaps that the disk was bad so I borrowed an install disk
from a friend to see if it would work. Unfortunately, I encountered the
same problem with the 2nd install disk. Clearly, the problem isn't with
the disk.

Any reason why this problem might be occurring? FYI, there are many
other files that can't be found should I choose to skip this file.

This sounds like a problem with your CD ROM drive if it is happening with 2 different setup disks. You might try copying the CD to the hard drive and running setup from there.

Be advised that upgrades from win9x almost always fail for any number of
reasons. Save yourself some time and trouble, given that you'll more than
likely end up with an unstable OS with all the remnants/ corruption left
behind from the upgrade. Best to blow it all away and go for the clean
install.

To do a clean install, either boot the Windows 2000 CD-Rom or setup disks.
The set of four install disks can be created from your Win2k CD-rom; change
to the \bootdisk directory on the cd-rom and execute makeboot.exe (from dos)
or makebt32.exe (from 32 bit) and follow the prompts.

When you get to the point, delete the existing NTFS and or other partitions
found. After you delete the partition(s) abort the install, then again
restart the pc booting the CD-Rom or setup disks to avoid unexpected drive
letter assignments with your new install.

During Windows 2000 setup, at some point, will want to confirm the previous
operating system for the upgrade; at that point you'll simply insert the
qualified product install CD for it to verify. Then the install will
proceed.

Check the pc, mb or hardware manufacturer's web site for the latest bios and
or Windows 2000 drivers for your devices.

Be sure to apply these to your new install before connecting to any network.

I don't seem to be able to boot from the Win2K disk without
automatically going into the setup up program. Exiting from the program
results in the system re-booting. How can I load the OS from the CD and
get to a prompt?

what if I booted with a Win98 diskette and then made the boot disk from
the \bootdisk directory on the cd?

Not clear at all what the problem is. Boot the CD-Rom if you can. If not
boot from the setup disks.

Well, I tried the other approach suggested but ran into the same
problem. So, what's the easiest way of copying all the
directories/files from the CD? I have diskcopy but doesn't seem to work
in DOS.
