I want to sell my computer with windowsxp installed.
I need to clean the hard drive, but retain the os
windowsxp. I have the upgrade version of xp home edition,
formerly had windows me. How can I do this?

You can't. As it is an upgrade licence and ME is the qualifying product you
are obliged to include the XP CD with the system, as it is now 'part of' the
ME installation.

If the drive has been formatted NTFS, delete the partitions. Recreate them.
Format using FAT32. Then use the Windows ME restore media.

If the drive is still FAT32, format and restore Windows ME.

If using an OEM WinME CD, follow the manufacturer's directions to restore.
If using a retail copy, there is a setup.txt file on the CD that covers
many different installation scenarios. May want to give that a read and/or
print it out to have it handy during WinME setup.

PS: For the new computer, your copy of WinXP is a retail copy. As long as
it is removed from the old computer, you can move it to another system.

However, since this is an upgrade package of XP you will need a previous
version of Windows on hand to satisfy XP's setup program. If you have a
Win95, 98 or ME CD with the standard setup files on it, it will suffice.

If you do not have a CD of an older Windows, you won't be able to install
the WinXP upgrade and will need to get a full copy.
