i am trying to replace a damged file taskman.exe but where
do i find the file on the cd to restore the damged file?

You have a copy in your c:\windows\I386 folder you have
to expand it. if you're replaceing it because of a virus
it may be damaged too. A restore CD is a image and you
may not be able to ues it.

On CD use this

D:\i386 expand taskmgr.ex_ %SystemRoot%\SYSTEM32
\taskmgr.exe

From I386 Folder

C:\windows\i386 expand taskmgr.ex_ %SystemRoot%\SYSTEM32
\taskmgr.exe

Just put the XP cd in the drive and then go to Start>Run and type

"sfc /scannow" without the quotes. Note that there is a space between
"sfc" and "/scannow".
