Removing Password protection.

I know the password to the Workbook. I need to remove the protection but, it
is greyed out under Tools\Protection. I also tried to Save As\Tools\General
Options but, it was greayed out there also. I do have Admn rights to this
machine. Thanks in advance for your response and help.
 
Do you have more than one sheet selected within the workbook? If so, Ungroup

Also, if the workbook is shared, then you may need to unshare it
