Removing OS on dual boot install

Here is my problem: I have WinXP Pro installed on my primary drive C. I
recently installed a second Win XP pro on my slave D drive. I now want to
delete Win XP Pro from D but I am recieveing an "access denied" error when
attempting to delete D:\Windows and D:\Program Files. I guess I could
re-format D: but I have 60 GB of files on that drive and would rather not
have to move it all over to another drive. Any ideas of how I can delete
these two folders?

Take Ownership of that folder. Login as Administrator from Safe mode (XP
Home)

Yes, I am positive. I have disabled simple file sharing and taken ownership
of files and folders, but still unable to delete. I am getting 1 of 2 errors.
Access denied: Make sure disk is not full or write protected and that the
file is not currently in use....or I get cannot delete file, it is being used
by another person or program.

Thanks Ramesh,
I made the changes you suggested but still no luck. I have disabled simple
file sharing and taken ownership of files and folders, but still unable to
delete. I am getting 1 of 2 errors. Access denied: Make sure disk is not
full or write protected and that the file is not currently in use....or I get
"cannot delete file, it is being used by another person or program."

Ok, I went back in and changed permissions as you suggested. This alone did
not do the trick, but while in the "security" tab, I deleted all other users
(system, etc) except for myself. It worked and I was able to delete the
folders. Thanks for the help.

Well. Boot up to the "D" drive, copy your files to "C" drive and then
reformat "D" drive.

then you can deal with ownership issues at least from "C" drive.
