re registering a license key for office xp 2002

I wonder if someone can clarify something for me,
If I regitered an office xp 2002, and gave the cd to someone else
would they be able to register the same office xp 2002 with no
conflicts?

Also the microsoft office xp 2002 the 2 cd set, is the license key
required for both cd's or will the second cd (media guide) work with
any license key?

No. Unless your friend purchases a new license. This is the exact scenario
that Product Activation was created to stop. Please read the EULA that you
agreed to when you installed the software.
