Probably not much help but...

It is a MS file for the QoS Packet Scheduler. The version I have is an SP1
based driver. Noted also that W2K uses the same thing.

It may be possible that the file you have is corrupted, it doesn't play
nicely with your NIC or network config or is the wrong version?

Don't know if this helps or not - may at least give you a place to start.
Maybe disable or remove QoS protocol from your net config and see if there
is any difference??
