Problem installing xp pro with Vista Business License

I recently purchased 5 Vista Business License and XP Media to upgrade 1-ME
and 4- W2k systems. The Me system was upgraded with no difficulty. The
first of the W2k systems, however, was a different story.
The upgrade started and went normally, the files appeared to be copied
properly and the system configuration was saved but when the system attempted
to reboot the XP logo comes up and the indicator with the dots goes halfway
across and locks up.
A real dilemma! W2k is gone and XP Pro won't boot.
A similar situation occurs whe atempting to boot in safe mode, Several of
the drivers in the list scroll on the screen but before it's completed the
system locks up.
My real concern is the fact that there are 3 more identical W2k systems to
be upgraded. Any advice or help that anyone can provide woud be greatly
appreciated.

With 5 Vista & 1 XP Media (xp to ME),the rest being vista to install,simply
boot to vista cd & perform a clean installation w/o upgrading thru windows
explorer.
